Terms of Service

The Hub — operated by MelaVaci LLC Last Updated: April 2026

These Terms of Service ("Terms") govern your use of The Hub, an AI-powered nonprofit intelligence platform operated by MelaVaci LLC ("MelaVaci," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, do not create an account or use the Service.

1. Definitions

  • "Service" means The Hub platform, including all features, tools, APIs, and content available through the web application.
  • "User" means any individual who creates an account on the Service.
  • "Organization" or "Org" means the nonprofit entity on whose behalf a User accesses the Service.
  • "Organizational Hub" means the collection of data an Organization enters into the Service (mission, programs, audience profiles, evaluations, and related information).
  • "AI Output" means any text, content, or recommendations generated by the Service using artificial intelligence.

2. Eligibility and Account Registration

2.1 Eligibility

The Service is designed for nonprofit organization leaders and their authorized staff. By creating an account, you represent that:

  • You are at least 18 years of age.
  • You have the authority to bind the Organization you represent to these Terms.
  • The information you provide during registration is accurate and complete.

2.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Ensuring that anyone you authorize to access your Organization's account complies with these Terms.
  • Notifying us immediately if you believe your account has been compromised.

We are not liable for any loss or damage resulting from unauthorized use of your account.

2.3 One Account Per Organization

Each Organization maintains a single tenant account. Multiple staff members may access the account under the Organization's subscription, but the account belongs to the Organization, not to any individual User.

3. Subscription Tiers and Billing

3.1 Subscription Plans

The Service is offered in three tiers:

  • Free ($0/month): Access to the organizational profile builder and onboarding. No AI prompt generation. No AI processing. Designed for evaluation purposes.
  • Starter ($29/month): Full access to the prompt builder. AI-generated content is produced and delivered directly within the Service using the Anthropic Claude API. Subject to a monthly AI token usage limit.
  • Professional ($49/month): Full access to the prompt builder, advanced audience profiles, and all modules. The Service builds precision prompts pre-loaded with your organizational context. You copy these prompts and paste them into your preferred AI tool (such as Claude or ChatGPT). No AI inference is performed by the Service on this tier.

All pricing is per Organization, not per seat. Your entire team can use one subscription.

3.2 Billing

Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize MelaVaci LLC to charge your designated payment method on a recurring monthly basis.

  • Billing begins on the date you subscribe and recurs on the same date each month.
  • All fees are quoted in U.S. dollars and are non-refundable except as described in Section 3.4.
  • You are responsible for keeping your payment method current. If a payment fails, we will notify you and may suspend access to paid features until payment is resolved.

3.3 Auto-Renewal

Paid subscriptions automatically renew each month unless you cancel. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date.

3.4 Refunds

We do not offer prorated refunds for partial months. If you cancel, you retain access until the end of your current billing period. In cases of billing error or service outage that materially prevents your use of the Service for an extended period, we will evaluate refund requests on a case-by-case basis. 3.5 Price Changes

We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel before the new price takes effect.

3.6 Token Usage Limits (Starter Tier)

Starter tier accounts are subject to a monthly AI token usage limit. If you reach your limit before the end of your billing cycle, you may:

  • Wait for your limit to reset at the start of your next billing cycle, or
  • Upgrade to the Professional tier and use your own AI tools without token limits.

We will notify you when you approach your usage limit.

4. Data Ownership

4.1 Your Organization Owns Its Data

All organizational data you enter into the Service — including your mission statement, program descriptions, audience profiles, evaluation data, uploaded documents, and any other content you provide — belongs to your Organization. MelaVaci LLC does not claim any ownership interest in your organizational data.

4.2 License to Provide the Service

By entering data into the Service, you grant MelaVaci LLC a limited, non-exclusive license to use that data solely for the purpose of providing and operating the Service. This includes sending relevant portions of your data to the Anthropic Claude API to generate requested outputs. This license terminates when your account is deleted.

4.3 AI-Generated Content

Content generated by the Service using AI belongs to you. You are free to use, modify, publish, and distribute AI-generated content without restriction or attribution to MelaVaci LLC.

However, you acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or biases.
  • You are solely responsible for reviewing, editing, and verifying any AI-generated content before publishing, submitting, or relying on it.
  • MelaVaci LLC does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.
  • The same or similar AI outputs may be generated for other users who provide similar inputs. AI-generated content is not exclusive.

4.4 Data Export

You may request a complete export of your organizational data at any time while your account is active. Exports are provided in JSON format. See our Data Retention and Deletion Policy for details on what happens to your data when you cancel.

5. Intellectual Property

5.1 The Platform

The Hub platform — including its code, design, user interface, frameworks, prompt compilation systems, Culture Creator Framework, and all associated intellectual property — is owned by MelaVaci LLC. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as a subscriber.

5.2 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback to improve the Service without any obligation to you.

5.3 No Reverse Engineering

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service. You may not reproduce, redistribute, or create derivative works based on the Service itself (as distinct from content you generate using the Service).

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to:

  • Use the Service for any illegal purpose.
  • Upload content that is defamatory, obscene, threatening, or that infringes on the rights of others.
  • Attempt to gain unauthorized access to other Organizations' data or to any part of our infrastructure.
  • Attempt prompt injection, prompt manipulation, or any technique designed to circumvent the Service's intended behavior.
  • Share your account credentials with unauthorized individuals.
  • Exceed or attempt to circumvent rate limits or usage restrictions.
  • Use the Service to generate content that is intended to harass, deceive, or harm others.
  • Resell, sublicense, or provide access to the Service to third parties as a competing service.

Violations of the Acceptable Use Policy may result in suspension or termination of your account.

7. Limitation of Liability

7.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. MelaVaci LLC makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 No Guarantee of Availability

We strive to maintain reliable service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7.3 AI Output Disclaimer

AI-generated content is produced by third-party artificial intelligence systems (Anthropic's Claude). MelaVaci LLC does not warrant the accuracy, reliability, or appropriateness of any AI-generated content. You use AI-generated outputs at your own risk and are solely responsible for verifying their accuracy before use.

7.4 Limitation of Damages

To the maximum extent permitted by applicable law, MelaVaci LLC's total liability to you for any claims arising from or related to the Service is limited to the amount you have paid to MelaVaci LLC in the 12 months preceding the claim.

MelaVaci LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or organizational reputation, regardless of whether we were advised of the possibility of such damages.

7.5 Third-Party Services

MelaVaci LLC is not responsible for the actions, policies, or availability of third-party services used in connection with the Service (Anthropic, Google/Firebase, Stripe, Vercel). Changes to third-party services may affect the functionality of the Service, and we are not liable for such changes.

8. Indemnification

You agree to indemnify and hold harmless MelaVaci LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your Organization's use of AI-generated content.
  • Any content you upload to the Service.

9. Termination

9.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting us. Cancellation of a paid subscription takes effect at the end of the current billing period. Account closure and data deletion follow the process described in our Data Retention and Deletion Policy.

9.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy.
  • Your payment fails and is not resolved within 14 days of notice.
  • We reasonably believe your account is being used for fraudulent or illegal activity.
  • We discontinue the Service (with at least 90 days' notice and an opportunity to export your data).

If we terminate your account for cause (violation of terms), we are not obligated to provide a refund for any remaining subscription period.

9.3 Effect of Termination

Upon termination, your right to access the Service ends. Your data is handled according to our Data Retention and Deletion Policy (30-day grace period for export, then permanent deletion).

10. Dispute Resolution

10.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@melavaci.com and attempt to resolve the matter informally for at least 30 days.

10.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

10.3 Jurisdiction

Any disputes that cannot be resolved informally shall be resolved in the state or federal courts located in the State of Georgia. You consent to the personal jurisdiction of these courts.

10.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

11. Modifications to These Terms

We may modify these Terms from time to time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Notify you by email at least 30 days before the changes take effect.
  • Provide a summary of what changed.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree with updated Terms, you may cancel your account before they take effect.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, Data Retention and Deletion Policy, and Acceptable Use Policy, constitute the entire agreement between you and MelaVaci LLC regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

12.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets, provided the successor agrees to honor these Terms.
